Welcome to MarAmi Vineyards ("MarAmi," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your use of maramivineyards.com (the "Site") and any services, including purchases, you use or make from MarAmi (collectively, the "Services"). These Terms are a binding legal agreement between MarAmi and users of this Site and our Services, and set forth what we expect from users of the Site and what activities are not permitted on or in connection with the Site. Please read these Terms carefully before you start to use the Site. If there is anything you do not understand in these Terms and/or any other terms or information published or made available through the Site, please contact us using the contact information below.

BY ACCESSING OR USING THE SITE, YOU ACCEPT AND AGREE TO BE BOUND BY AND COMPLY WITH THESE TERMS OF USE, THE SEPARATELY POSTED PRIVACY POLICY, AND APPLICABLE LAWS AND REGULATIONS IN CONNECTION WITH YOUR USE OF THE SITE. If you do not agree to be bound by these Terms, the Privacy Policy and all applicable laws, you must leave the Site and discontinue any use of the Site and the Services provided on or through the Site.

1. Consent for Electronic Communications

By providing your email address and using the Site, you consent to receive communications electronically, including transactional messages, order confirmations, shipping notifications, legal notices, and other communications related to your purchases and account.

When you access our Site or use our Services, contact us by email, or receive electronic communications from us, you are, and consent to, communicating with us electronically. MarAmi may communicate with you by email or by posting notices on our Services. You agree that all notices, disclosures, agreements, policies, and other communications that we provide to you electronically satisfy any requirement that such communications be in writing.

2. Eligibility and Age Requirement

You must be at least 21 years of age to use this Site or the Services, including purchasing products, or accept delivery of any product from MarAmi Vineyards. By using the Site or placing an order, you represent and warrant that you are at least 21 years old and that any person to whom your order is delivered is also at least 21 years old.

All deliveries require an adult signature (age 21 or older) at the time of delivery. Photo ID confirming age may be required. If no eligible recipient is available, the carrier will not leave the package.

3. Account Registration

Some features of the Site, including wine club membership and order history, require you to create an account. When you create an account, you represent that you are at least 21 years of age. You also agree to:

  • Provide accurate, current, and complete information
  • Keep your account information up to date
  • Keep your password secure and confidential
  • Accept responsibility for all activity that occurs under your account
  • Maintain only one account per person
  • Notify us promptly of any unauthorized use of your account

You may not share your account credentials with any third party. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You must notify us immediately of any unauthorized access to or use of your account.

We reserve the right to suspend or terminate any account and cancel any order that violates these Terms or that we reasonably believe is being used fraudulently or abusively.

4. Operation of the Site and Services

MarAmi shall have the right, in its sole discretion, without notice and at any time and for any reason to discontinue operation of the Site and Services, or any portion thereof, or any products or services offered or advertised through the Services, or to terminate yours or any individual's access to or use of the Services. We reserve the right to modify, suspend, discontinue, or withdraw any product, wine club offering, promotion, or feature of the Site at any time without liability. The restrictions imposed on you, the disclaimers, indemnities and limitations of liability set forth in these Terms shall survive any termination of the Services or your use thereof.

5. Orders, Pricing, and Acceptance

All orders placed through the Site are offers to purchase, subject to our acceptance. We reserve the right to refuse, cancel, or limit any order at our discretion, including for reasons such as product unavailability, suspected fraud, shipping restrictions, or errors in pricing or product information.

Prices are displayed in U.S. dollars and are subject to change without notice. Applicable taxes and shipping fees will be calculated and shown at checkout.

Pricing and typographical errors: Despite our best efforts, items on the Site may occasionally be mispriced or contain inaccurate descriptions. If we discover an error in the price or description of an item you have ordered, we may cancel the order and notify you. If your payment has already been processed, we will issue a full refund.

Product availability is subject to change without notice. In the event a particular wine, vintage, or product becomes unavailable after an order is placed, we may substitute a comparable product or vintage of equal or greater value, or provide a refund at our sole discretion.

6. Payment

Payment is processed at the time you place your order. We accept the payment methods listed at checkout. Payment information is processed securely by our payment processor; we do not store full credit card numbers on our systems. By providing payment information, you represent that you are authorized to use the payment method.

7. Shipping

We ship wine only to addresses within U.S. states and territories where we are legally permitted to do so. As of the effective date of these Terms, we ship to only California.

Title and risk of loss pass to you when the products are delivered to the carrier, subject to applicable law. MarAmi is not responsible for loss, theft, or damage occurring after delivery to the carrier. Notwithstanding the foregoing, MarAmi may in its sole discretion, but is not obligated to, assist you with claims involving damaged, lost, or delayed shipments.

If a shipment is returned because no individual 21 years of age or older is available to accept delivery, because the delivery address is incorrect, or because delivery is otherwise unsuccessful due to circumstances within the recipient's control, MarAmi reserves the right to charge additional shipping, storage, handling, and return fees.

Shipping availability is subject to change based on state and federal law. We do not ship to P.O. boxes. We are not responsible for delays caused by carriers, weather, or other circumstances outside our control.

Wine is temperature-sensitive. During periods of extreme heat or cold, we may delay shipment to protect your order. You are responsible for monitoring tracking information and arranging for timely receipt of your shipment.

8. Returns and Refunds

If your order arrives damaged, flawed, or incorrect, please contact us at contact@maramivineyards.com as soon as reasonably possible after delivery so we can make it right. We will work with you to arrange a replacement, refund, or other appropriate remedy.

Due to the nature of alcoholic beverages and applicable laws, we generally do not accept returns of opened bottles or products that have been mishandled after delivery. Specific return arrangements will be handled on a case-by-case basis.

Before initiating a chargeback or payment dispute, you agree to contact MarAmi and provide a reasonable opportunity to address the issue. Fraudulent or abusive chargebacks may result in account suspension, cancellation of wine club memberships, and restrictions on future purchases.

9. Wine Club Membership

Our wine club is an ongoing membership program that automatically renews and ships wine to members on a recurring basis. By joining the Wine Club, you expressly agree that your membership will automatically continue and that MarAmi may charge the payment method associated with your account for each recurring shipment, together with applicable taxes, shipping charges, and handling fees, unless and until you cancel your membership in accordance with these Terms.

Recurring Charges

By enrolling, you authorize us to automatically charge your designated payment method on file for each Wine Club shipment at the then-current member pricing, plus applicable taxes and shipping fees, and at the shipment frequency selected by you, without obtaining additional authorization for each charge.

Acknowledgment of Enrollment

Upon enrollment, you will receive an email or other electronic acknowledgment containing the automatic renewal offer terms, information regarding cancellation, and a copy or link to these Terms.

Acceptance of Offer Terms

By enrolling in the Wine Club, you affirmatively consent to the automatic renewal feature, the recurring charges described above, and the ongoing use of your payment method until your membership is cancelled.

Changes to Membership Terms

MarAmi reserves the right to change Wine Club pricing, shipment frequency, wines included in shipments, member benefits, shipping charges, or other material terms of membership. If we make a material change to the automatic renewal terms, we will provide notice as required by applicable law before the changes become effective.

Updating Payment Information

You are responsible for maintaining current and accurate payment and contact information. If a charge is declined or your payment method becomes invalid, we may suspend or terminate your Wine Club membership until valid payment information is provided.

Cancellation

You may cancel your wine club membership at any time by contacting us at contact@maramivineyards.com or through your account, provided you have received your first shipment. Cancellation will take effect for future shipments; orders already processed at the time of cancellation will still be fulfilled and are not refundable on that basis alone.

We may modify wine club benefits, pricing, shipment frequency, or product selections at any time. We will provide reasonable notice of material changes.

10. Intellectual Property

"MarAmi Vineyards," "MarAmi," and related logos, product names, trade dress, and other brand identifiers are our trademarks or proprietary assets. Nothing in these Terms grants any license or right to use such marks without our prior written consent.

All content on the Site — including text, images, logos, product names, photography, graphics, and design — is owned by MarAmi Vineyards or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on the Site without our prior written permission, except that you may view and print pages for your own personal, non-commercial use. All rights not expressly granted herein are reserved by MarAmi.

You may provide us with feedback, including suggestions, ideas, comments, reviews, or recommendations regarding the Site, Services, or our products. You agree that any feedback you submit regarding the Site, products, or services may be used by MarAmi without restriction or compensation to you.

11. Prohibited Uses

You agree not to use the Site to:

  • Violate any applicable law or regulation
  • Misrepresent your age or identity
  • Interfere with or disrupt the Site or its underlying infrastructure
  • Attempt to gain unauthorized access to any part of the Site or other users' accounts
  • Use automated tools (bots, scrapers, etc.) to access or collect content from the Site without our permission
  • Engage in fraudulent, abusive, or harmful activity
  • Copy any part of the Site or Services, except where such copying is incidental to normal use of the Site or Services or necessary for backup or operational security
  • Rent, lease, sublicense, loan, translate, merge, adapt, vary, or modify any part of the Site, Services, or content therein
  • Make alterations to or modifications of the whole or any part of the Site, Services, or content, or permit any part of the Site, Services, or content to be combined with or incorporated into any other programs or content
  • Disassemble, decompile, reverse-engineer, or create derivative works based on the whole or any part of the Site, Services, or content, or attempt to do any such thing except to the extent such actions cannot be prohibited by applicable law
  • Provide or otherwise make available the Site, Services, or content, in whole or in part, in any form to any person without our prior written consent (for the sake of clarity, this does not include directing others to the URL of the Site)
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity
  • Use the Site, Services, or content in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms, or act fraudulently or maliciously, including by hacking into or inserting malicious code or technology, such as viruses or harmful data, into the Site, any websites linked to the Site, or any operating system
  • Infringe our intellectual property rights or those of any third party in connection with your access to or use of the Site, Services, or content
  • Collect Site users' information, or otherwise access the Site or our systems, using automated means, such as harvesting bots, robots, spiders, or scrapers, or attempt to decipher any transmissions to or from the servers running the Site
  • Manipulate any identifiers to disguise the origin of a message
  • Solicit login information or access an account belonging to someone else
  • Disclose any other user's personal information without that user's prior express agreement
  • Facilitate or encourage any breach by any other party of these Terms
  • Use the Site, Services, or content in any manner that could damage, disable, overburden, impair, or compromise any of them, our systems, or security; interfere with other users or any other party's computer systems; or hack or gain unauthorized access to the Site, Services, content, or any data

12. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site, your account, or your Wine Club membership at any time and for any reason, including suspected fraud, violation of these Terms, chargeback abuse, unlawful activity, or conduct that may harm MarAmi, its customers, or business operations. Sections concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any provisions that by their nature should survive termination shall survive termination.

13. Disclaimers

NEITHER MARAMI, ANY OF OUR PARTNERS NOR ANY OF THEIR RESPECTIVE AFFILIATES OR RELATED ENTITIES MAKES ANY WARRANTIES OR REPRESENTATIONS WHATSOEVER WITH RESPECT TO THE SITE, SERVICES, OR ANY LINKED WEBSITES, OR THEIR CONTENT, INCLUDING THE AVAILABILITY OF ANY LINKED WEBSITE OR THE CONTENT, INFORMATION AND MATERIALS ON IT OR THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THAT CONTENT, INFORMATION AND MATERIALS. MARAMI, OUR AFFILIATE, OUR PARTNERS AND THEIR RESPECTIVE AFFILIATES OR RELATED ENTITIES ALSO DO NOT WARRANT OR REPRESENT THAT YOUR ACCESS TO OR USE OF THE SITE OR SERVICES OR ANY LINKED WEBSITE WILL BE UNINTERRUPTED OR FREE OF ERRORS OR OMISSIONS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ANY LINKED WEBSITE IS FREE OF COMPUTER VIRUSES OR OTHER HARMFUL COMPONENTS. WITHOUT LIMITING THE FOREGOING, ALL CONTENT, INFORMATION AND MATERIAL PROVIDED ON THE SITE AND SERVICES IS PROVIDED TO USERS "AS IS" WITH NO WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY OR ACCURACY. THE "AS IS" CONDITION OF THE CONTENT, INFORMATION AND MATERIALS PROVIDED ON THE SITE, SERVICES, OR ANY LINKED WEBSITE IS EXPRESSLY MADE A CONDITION OF ANY TRANSACTION ARISING THROUGH OR AS A RESULT OF THE SITE. PLEASE NOTE THAT SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THE EXCLUSION OF IMPLIED WARRANTIES.

Information about our products is provided for general informational purposes only and is not intended as health, medical, or nutritional advice.

14. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL MARAMI, ANY OF OUR PARTNERS, ANY OF OUR OR THEIR RESPECTIVE AFFILIATES OR RELATED ENTITIES, OR ANY OF OUR OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, WHETHER IN CONTRACT OR IN TORT, INCLUDING NEGLIGENCE, ARISING IN ANY WAY OUT OF ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR ANY LINKED WEBSITE OR ITS CONTENT, INCLUDING BUT NOT LIMITED TO LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF PROGRAMS OR OTHER DATA ON COMPUTER SYSTEMS OR OTHERWISE, EVEN IF MARAMI OR ANY OF THE ABOVE ENTITIES ARE EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT, REGARDLESS OF THE CAUSE OF ACTION, WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO MARAMI VINEYARDS FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS MARAMI, OUR AFFILIATES AND PARTNERS, AND OUR OR THEIR RESPECTIVE RELATED ENTITIES AND OUR OR THEIR RESPECTIVE DIRECTORS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS FROM AND AGAINST ALL CLAIMS, LOSSES, DAMAGES, LIABILITIES, AND COSTS (INCLUDING BUT NOT LIMITED TO REASONABLE ATTORNEYS' FEES AND COURT COSTS), ARISING OUT OF OR RELATING TO (A) YOUR NEGLIGENCE OR INTENTIONAL MISCONDUCT; (B) YOUR BREACH OF THESE TERMS; (C) YOUR ACCESS TO OR USE OF THE SITE, SERVICES, AND ANY PRODUCTS PROVIDED TO YOU; (D) INFORMATION OR MATERIALS PROVIDED BY YOU, INCLUDING YOUR SUBMISSIONS OR FEEDBACK, INCLUDING INTELLECTUAL PROPERTY INFRINGEMENT, MISAPPROPRIATION OF TRADE SECRETS OR OTHER INTELLECTUAL PROPERTY, INVASION OF PRIVACY OR OTHER INFRINGEMENT OF PRIVACY RIGHTS, DEFAMATION, OR LIBEL; OR (E) PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE RELATED TO YOUR OBLIGATIONS UNDER THESE TERMS. THE FOREGOING INDEMNIFICATION OBLIGATION SHALL SURVIVE TERMINATION OF THESE TERMS AND THE SERVICES.

16. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Third-Party Links

The Site may contain links to third-party websites or services. These links are provided for your convenience only. We do not control and are not responsible for the content, policies, or practices of any third-party sites. Providing these links does not mean that MarAmi endorses the businesses, products, or services of those websites. Your use of those sites is at your own risk and subject to their own terms.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. If we make material changes, we will provide reasonable notice through the Site or by other means. Your continued use of the Site after the effective date of any updated Terms constitutes your acceptance of the updated Terms.

19. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Santa Barbara County, California, and you consent to the personal jurisdiction of those courts.

20. Force Majeure

MarAmi shall not be liable for any nonperformance or delay in performance caused by any act beyond its reasonable control, including without limitation acts or omissions of third parties, unavailability of supplies, equipment failure, war, strikes, lockouts, fire, flood, pandemics or other public health emergencies, acts of God, any law, regulation, ordinance, or other act or order of any court, government, or governmental agency, delays, unavailability, errors, or other failures of the Internet or other data networks, or other causes beyond MarAmi's reasonable control, whether similar or dissimilar to any of the foregoing.

21. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MarAmi Vineyards regarding your use of the Site and Services, and supersede all previous written or oral agreements between the parties with respect to such subject matter. For clarity, these Terms do not supersede any written services agreements, license agreements, or similar agreements between the parties unless specifically agreed to by the parties in writing.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Assignment. MarAmi may assign its rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law. You may not assign or transfer these Terms without our prior written consent.
